1. The agreement
These terms are between Transof Technologies Inc., doing business as TranSof (“TranSof”, “we”), and the business that signs up (“you”). The person who accepts them confirms they may do so for the business. Our Privacy Policy explains how we handle personal information.
We are a Canadian company, based in Ontario. Our mailing address is given on request.
2. Accounts and people
- Give us true details. Verify your e-mail to book more than 3 loads and to use AI reads.
- You decide who joins your companies and what each person may do, and you are responsible for what they do in TranSof.
- Keep passwords to yourselves, and tell us straight away if you think an account has been misused.
- A person may own one Free or preview account, and up to three accounts in all before we review them. Joining other companies’ accounts has no limit. Someone setting up an account for a client does it with the client as the Owner.
3. The preview and Free
Every new account starts with a 30-day preview: every feature, Free’s limits, and a one-time 50,000 AI credits (about 50 rate con reads). No card is needed. After 30 days the account moves to Free by itself, with nothing lost and nothing charged.
Free includes 25 loads a month, 6,000 AI credits a week (about 6 rate con reads), 3 office users, 5 active trucks and one company. Office users include the Owner and invitations still waiting; trailers and archived trucks don’t count as trucks. Drivers and the driver app are free and unlimited on every plan.
4. Plans and limits
The plans, their prices and their limits are on our pricing page, which forms part of these terms. In short:
- Loads. A load counts once, in the month it is booked, whichever company in your group books it. Drafts and document reads never count. A load cancelled within 24 hours of booking, before any stop was departed and before an invoice, is given back.
- At the limit. We warn you at 80% and at 100%. Then you get a grace of 10% more loads, at least 5 (3 on Free). After that, booking a new load needs more room. On paid plans, that’s a load pack, a boost or the next plan. On Free and the preview, it’s a paid plan once they open, or your monthly reset.
- What never stops. Nothing already booked is ever blocked, and the driver app keeps working.
- Office users, trucks and companies. Past a plan’s limit, adding one more needs a bigger plan; on Free and the preview, that’s a paid plan once they open. If your account moves to a smaller plan, nothing is deleted: what is over the limit stays readable and can still be invoiced and paid, but can’t take new loads until the plan fits again.
5. AI credits
- Credits come with your plan each week. They refill every Monday at midnight in your account’s time zone. What a week leaves unused carries into the next, up to one week’s amount; the rest expires. Credits you buy last 12 months.
- 40% of each week’s credits, the carried ones included, are kept for reading documents.
- When credits run out, your files are still filed and you can always enter a load by hand.
- AI can be wrong. It shows where each value came from and flags what it couldn’t read, but you are responsible for checking a load before you book it and a document before you send it.
6. Paid plans, prices and taxes
- Paid plans open soon. Until then, nothing is charged.
- Prices in CAD, plus applicable taxes (GST/HST, and QST or PST/RST where they apply). Prices in USD, plus applicable taxes (US sales tax, or GST/HST, where they apply).
- Your account is billed in one currency: Canadian dollars, or US dollars when its first company is in the United States. The account’s owner can change it on the plan page until its first payment; after that it stays. Where these terms give two amounts, as in “C$50 (US$40)”, the second applies when the money is in US dollars.
- Monthly plans renew every month and annual plans every year. We remind you 30 days and 7 days before an annual plan renews.
- Annual plans are billed once a year, at ten months’ price. The pricing page shows each plan’s price both ways.
- An upgrade takes effect at once, and you pay only the difference for the rest of the period. A downgrade takes effect at the end of the period.
- We tell you at least 7 days before any change to your price or how often you are billed takes effect, and you can cancel before it does.
- If a payment fails, we try again over the following days. After 14 days, new bookings and paid extras pause while everything else keeps working. After 30 days, the account moves to Free. Paying brings your plan back.
7. The 30-day money-back guarantee
Not for you? Get your first payment back within 30 days, once per business. If you used more than 60 loads or 200,000 AI credits (about 200 rate con reads) in that time, we keep that extra use at cost.
- It covers the first payment of your company group, monthly or annual, and add-ons bought in the same 30 days.
- “Once per business” means that the same owner, card, GST/HST number or legal name counts as the same business.
- “At cost” means C$1.00 for each load and 2¢ for each 100 AI credits used above 60 loads and 200,000 AI credits (about 200 rate con reads). Load packs and boosts that were used are kept; the unused share is refunded.
- For an account billed in US dollars, the “at cost” amounts are the same, converted at the Bank of Canada’s exchange rate on the day of the refund.
- The refund goes back to how you paid. Your account moves to Free and keeps all its data.
8. Cancelling
- Monthly plans cancel any month, and run to the end of the month you paid for.
- Annual plans run to the end of the term. Outside the 30-day guarantee, the rest of the term is not refunded.
- Your data stays yours either way, and export is free: invoices, payments and costs download to a spreadsheet in the app, and for everything else, ask us and we’ll send a full export.
9. Your data
You own your records. You let us store and work with them only to run TranSof for you, as our Privacy Policy explains. You also agree that authorized TranSof staff may open your account and see its records, without asking you first, to give support, fix problems and keep the service secure. We log every visit and every change, and their changes show in your account as made by TranSof Support.
10. Fair use
Don’t use TranSof to:
- break the law, or help anyone else break it, including freight fraud and identity theft;
- upload documents or details you have no right to share;
- send e-mail people haven’t agreed to receive, or anything else Canada’s anti-spam law (CASL) forbids;
- get into accounts or data that aren’t yours, probe or overload the service, or get around its limits, for example with several Free accounts;
- copy, resell or take apart TranSof, except as the law allows.
We may suspend an account that does these things. We tell you first and give you a fair chance to put it right, unless the law, someone’s safety, suspected fraud or a risk to TranSof or other customers requires us to act at once. Either way, we tell you why, unless the law or someone’s safety prevents it.
11. Referrals, when they open
- Share your own referral link or code. Don’t spam it.
- The business you refer gets C$50 (US$40) off its second invoice; you get C$50 (US$40) of wallet credit once that invoice is paid (60 days after payment on an annual plan).
- Up to 12 rewards a year. Referral credit comes off an invoice before tax, can’t be cashed out, and expires 12 months after it is earned.
- There is no reward when the two accounts share an owner, card, tax number, carrier number or address, and we may hold back a reward we believe was gamed.
12. Affiliates and agents, when they open
People who promote TranSof for a commission sign a separate partner agreement. The basics:
- 20% of what we keep from each business they bring, for its first 12 months. Agents who onboard a customer also get C$100 (US$80) after its third paid invoice.
- Commission is held for 60 days after an invoice is paid, then paid monthly once it reaches C$50 (US$40), and is taken back if the payment is refunded or disputed.
- A business belongs to the last partner link or code it used in the 90 days before it signed up, or the partner code it enters at checkout before its first paid invoice, and one business earns for one partner only.
- Partners say when they are paid to recommend us, never spam, never bid on “TranSof” in search ads, and never promise features that don’t exist yet.
- We issue tax slips where the law requires.
13. The service
We work to keep TranSof available and your data safe, but we can’t promise it will never be interrupted. We improve TranSof all the time; if a change takes away something your paid plan depends on, we will tell you first.
14. Limits on our responsibility
- We provide TranSof as it is and as it is available. Beyond what these terms say, we make no promise that it suits a particular purpose or is free of errors.
- TranSof is a tool for running your business. The loads you book, the invoices and messages you send, and your dealings with your customers, drivers and carriers are yours, and so is checking them.
- As far as the law allows, we are not responsible for indirect losses, such as lost profit, lost loads or lost business.
- As far as the law allows, our total responsibility for all claims under these terms is limited to what you paid us in the 12 months before the claim, or C$100 (US$80) if that is more.
- Nothing in these terms limits a responsibility that the law doesn’t allow to be limited.
15. Ending the agreement
- You can close your account at any time by writing to us. A paid plan runs to the end of the period you paid for, as section 8 says.
- We may suspend or close an account that breaks these terms. We tell you first and give you a fair chance to put it right, unless the law, someone’s safety, suspected fraud or a risk to TranSof or other customers requires us to act at once. An account that doesn’t pay moves to Free, as section 6 says.
- If we ever stop offering TranSof, we will tell you at least 60 days ahead, and refund what you paid for any time after it stops.
- However the agreement ends, your data stays yours. For 30 days after an account closes, you can ask us for a free export; then we delete its records, except what the law makes us keep or what we need to settle a dispute or prevent fraud, as our Privacy Policy says.
- What you owe us, the limits in section 14 and section 16 still apply after the agreement ends.
16. Law, language and changes
- These terms follow the laws of Ontario and of Canada, and the courts of Ontario hear any dispute.
- We will offer these terms in French before we sell in Quebec. Until then, paid plans can’t be bought with a Quebec billing address.
- We will post changes here, and tell account owners by e-mail before a significant change takes effect.
